At CMAA's 3rd Annual Convention, the leadership of the Association revoked the Constitution and Bylaws in effect at that time. By proper motion a new Constitution and set of Bylaws were adopted, under which the Board of Directors unanimously recommendeed that the original charter of the Association under the laws of the State of Illinois be surrenedered. A New resolution was adopted that the Association incoprate under the laws of the State of Michigan, as the laws in Michigan were more flexible for non-profit organizations. That's why LLC is headed to Detroit this year!
